UZerve Vendor Terms & Conditions

These Terms & Conditions (“Terms”) govern the use of the UZerve platform operated by Adikarahtech Software Systems Private Limited (“Company”, “UZerve”, “Platform”).

By registering as a Vendor on UZerve, you agree to comply with and be bound by these Terms.

1. Definitions

• Platform: UZerve mobile application and website

• Vendor: Service provider registered on UZerve

• User: Customer booking services

• Wallet: Digital wallet for Vendor earnings

2. Eligibility

Vendors must:

• Be at least 18 years of age

• Provide valid KYC documents (Aadhaar, PAN, bank details)

• Hold all necessary licenses or permits required for their services

UZerve reserves the right to approve or reject any registration at its sole discretion.

3. Nature of Relationship

• Vendors act as independent contractors

• No employer-employee relationship exists

• Vendors are responsible for their own taxes, liabilities, and legal compliance

4. Vendor Responsibilities

Vendors agree to:

• Deliver services professionally and on time

• Maintain service quality standards

• Treat customers respectfully

• Avoid fraudulent, misleading, or unethical practices

5. Service Requests & Fulfillment

• Vendors may accept or reject service requests

• Once accepted, services must be completed as committed

• Vendors must respond promptly

• Repeated cancellations or delays may result in penalties or suspension

6. Pricing & Commission

• Pricing may be Vendor-defined or determined by the Platform

• UZerve may charge commissions or service fees

• Commission structures may be updated with prior notice

7. Vendor Wallet

• All earnings, deductions, penalties, refunds, and adjustments are reflected in the Wallet

• Vendors can access transaction history at any time

8. Wallet Withdrawal Policy

Requirement

• Vendors must provide a valid reason for withdrawal requests (e.g., personal use, operational expenses)

Platform Rights
UZerve may:

• Review withdrawal requests

• Delay, hold, or reject withdrawals in cases of:

  • Suspected fraud

  • Pending disputes

  • Policy violations

Processing Timeline

• Withdrawals are processed within 1–5 business days

9. Refunds, Penalties & Adjustments

UZerve may deduct amounts from the Vendor Wallet for:

• Customer refunds

• Poor service or complaints

• Policy violations

• Cancellations or no-shows

All decisions made after internal review are final.

10. Cancellation Policy

• Vendors cancelling accepted requests may incur penalties

• Repeated cancellations may lead to suspension

• Late arrival or no-show will be treated as cancellation

11. Ratings & Reviews

• Users may rate and review Vendors

• Consistently low ratings may lead to reduced visibility, penalties, or suspension

12. Lead Allocation

UZerve does not guarantee:

• Minimum leads

• Bookings

• Earnings

Lead allocation depends on performance, ratings, availability, and location.

13. GPS Tracking & Location Usage

UZerve may collect real-time GPS data during active services for:

• Accurate service delivery

• Safety and transparency

• Fraud prevention

By using the platform, Vendors:

• Consent to GPS tracking during active jobs

• Agree to share location with users when required

Data Protection

• Data is securely stored

• Used only for operational purposes

• Managed in accordance with applicable Indian laws

14. Customer Interaction Policy

Vendors must:

• Maintain professionalism

• Avoid abusive or inappropriate behavior

• Not conduct transactions outside the platform

Violations may result in suspension or permanent termination.

15. Prohibited Activities

Vendors shall not:

• Provide false information

• Engage in fraud or illegal activities

• Manipulate pricing or the wallet system

• Misuse user data

16. Suspension & Termination

UZerve may suspend or terminate Vendor accounts for:

• Fraud or misconduct

• Repeated complaints

• Legal violations

• Breach of these Terms

Wallet balances may be held during investigations.

17. Dispute Resolution

• Vendors must raise disputes through official support channels within a reasonable timeframe

• UZerve will review and resolve disputes

• Decisions of the platform shall be final and binding

18. Limitation of Liability

UZerve acts solely as an intermediary platform connecting Users and Vendors.

UZerve is not responsible for:

• Service quality

• Customer disputes

• Loss of income or damages

19. Taxes & Compliance

• Vendors are responsible for GST, income tax, and all applicable taxes

• Vendors must comply with all Indian laws and regulations

20. Confidentiality

Vendors must not disclose:

• User data

• Platform data

• Business operations

Violations may result in legal action.

21. Data Privacy

• Data is handled as per UZerve Privacy Policy

• Used only for operational purposes and stored securely

22. Marketing & Branding Rights

UZerve may use Vendor name, logo, and service details for marketing and promotional purposes.

23. Inactive Accounts

Vendor accounts that remain inactive for extended periods may be restricted or temporarily disabled.

24. Indemnification

Vendors agree to indemnify and hold harmless UZerve and Adikarahtech Software Systems Private Limited from any claims, damages, or liabilities arising from Vendor actions.

25. Amendments

UZerve reserves the right to modify these Terms at any time. Continued use of the platform constitutes acceptance of updated Terms.

26. Governing Law & Jurisdiction

• Governed by the laws of India

• Jurisdiction: Bangalore, Karnataka

27. Force Majeure

UZerve shall not be liable for delays or failures caused by events beyond reasonable control, including:

• Natural disasters

• Government restrictions

• Network failures

28. Acceptance

By registering on UZerve, the Vendor confirms that they have read, understood, and agreed to these Terms & Conditions.
